Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the website and product of Viissue, Inc. (“Viissue,” “we,” or “us”). By using them, you agree to these Terms. If you use them on behalf of an organization, you agree on that organization’s behalf.
Eligibility & authority
To create an account or accept these Terms, you must be at least 18 and authorized to bind your organization. The organization is our customer; it may authorize its personnel to use the product as users — including users under 18 where permitted by law — and remains responsible for their use.
The service
Subject to these Terms, we grant your organization a limited, non-exclusive, non-transferable right to access and use the product for its internal business operations.
Accounts & security
You are responsible for safeguarding account credentials and for activity under your accounts. Notify us promptly of any unauthorized use.
Acceptable use
Don’t use the service unlawfully; don’t interfere with, disrupt, or attempt to compromise it; don’t reverse engineer it except where that right cannot be restricted by law; and don’t resell or provide it to third parties without our authorization.
Your data & ownership
The operational data your organization captures in the product remains your organization’s. We handle it as described in our Privacy Policy and, where applicable, a data processing agreement.
Our intellectual property
The product, the website, and all related software and intellectual property are and remain owned by Viissue. Nothing in these Terms transfers that ownership beyond the limited right to use granted above.
Fees
Fees, if any, are set out in a separate order or agreement. We may offer evaluation or no-cost use at our discretion.
Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the service and use it only as needed to provide or use the service.
Warranty disclaimer
To the fullest extent permitted by law, the service is provided “as is” and “as available,” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Viissue will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data; and our total liability arising out of or relating to the service will not exceed the amounts you paid to us for the service in the twelve months before the event giving rise to the claim (or, if no fees were paid, a nominal amount).
Indemnification
You will defend and indemnify Viissue against claims arising from your misuse of the service or your violation of these Terms or applicable law.
Term & termination
These Terms apply while you use the service. Either party may terminate as set out in an applicable order, or for material breach that is not cured within a reasonable period. On termination, your right to use the service ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will survive.
Enterprise agreements
If you and Viissue have entered into a separately signed agreement (such as a master services agreement or order form), that agreement controls to the extent it conflicts with these Terms.
Changes
We may update these Terms; we’ll revise the date above when we do, and continued use after a change means you accept it.
Governing law
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules.
